1. Services Provided

1. Building Group acts as a lead generation agency, sourcing and managing potential work opportunities ("Leads") in the building and construction sector.
2. Building Group may allocate or nominate specific Leads to you (the "Contractor").
3. Nothing in this agreement constitutes an employer-employee relationship or a partnership beyond that of an independent contractor arrangement.

2. "No Win, No Fee" Commission Structure

1. Our service operates strictly on a "No Win, No Fee" basis. You are only liable to pay a commission fee if you successfully win a job from a Lead we provide.
2. "Winning a Job" is defined as:
   • (a) The customer instructing you to proceed with works; or
   • (b) A contract being signed; or
   • (c) A deposit being paid (whichever occurs first).
3. If you quote for a job but are not successful, no fee is payable to Building Group.

3. Commission Payments & Penalties

1. The standard commission rate is based on the contract value of the secured work. Commission invoices are due for payment immediately upon Winning a Job.

   £50,000 to £199,999	4.0%
   £200,000 to £999,999	3.0%
   £1,000,000 and above	2.5% (or capped at £50k)

2. You agree to act in good faith and notify Building Group immediately upon winning any job derived from our Leads.
3. Non-Disclosure Penalty: In the event that you win a job from a Building Group Lead but fail to notify us, conceal the job, or attempt to bypass the commission fee, you agree that:
   • (a) You will be in material breach of contract; and
   • (b) You shall be liable for the full commission, plus interest and recovery costs; and
   • (c) You shall be liable for all reasonable legal and recovery costs incurred by Building Group in enforcing this debt.

4. Sub-Contracting

1. You may sub-contract works to third parties provided that you remain the primary liable party for all Commission payments to Building Group.

5. Lead Response Obligations

1. Time is of the essence. You agree to make initial contact with all allocated Leads on the same business day that they are received.
2. Failure to contact leads promptly affects our brand reputation. Persistent failure to meet this response time may result in the suspension or termination of your account.

6. Liability & Conduct

1. You are solely responsible for the quality, safety, and legality of your work. Building Group is a lead provider only and accepts no liability for disputes between Contractor and Customer.
2. You warrant that you hold all necessary public liability insurances and trade accreditations required to perform the works.

7. Termination

1. Building Group reserves the right to suspend or terminate access to the portal immediately upon breach of these terms, including non-payment of commission or failure to act in good faith.
